1. Platform Overview

GearVault is a tool that allows users to combine multiple Amazon products into a single affiliate URL. Users ("Creators") may build product collections ("Builds") and publish them to their external platforms. The Platform is provided on an "as-is" basis with no uptime guarantees or service level agreements.

2. Eligibility and User Accounts

2.1 Eligibility

You must be at least sixteen (16) years of age to use GearVault. By creating an account, you represent and warrant that you meet this minimum age requirement.

2.2 Account Creation

You may sign up using a valid email address and password. Your password is stored in hashed form. You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account.

2.3 Multiple Accounts

You are permitted to maintain multiple accounts, provided that each account complies with these Terms.

2.4 Account Deletion

You may delete your account at any time. Upon deletion, a thirty (30) day grace period will commence. During this grace period, you may reactivate your account by logging in; your personal information will be restored, although certain data may not be recoverable. After the thirty (30) day grace period expires, all data associated with your account will be permanently deleted. You are solely responsible for exporting or preserving your content prior to initiating deletion.

2.5 Inactive Accounts

If your account is subscribed to a Premium plan, we may send reminder emails regarding your subscription. For non-subscribed accounts, no action will be taken due to inactivity, although the Platform reserves the right to occasionally delete inactive accounts at its discretion.

3. Payments, Subscriptions, and Refunds

3.1 Plans

GearVault offers Free and Premium subscription plans. Features and limitations of each plan are as described on the Platform at the time of subscription.

3.2 Billing

Premium subscriptions are billed on a monthly basis. By subscribing, you authorize recurring charges to your selected payment method.

3.3 Failed Payment and Cancellation

If a payment is not successfully processed, your Premium access will be suspended immediately. No special data retention applies beyond the standard account policies described herein.

3.4 Trials

GearVault does not offer free trials at this time.

3.5 Refunds

Refund requests may be submitted via email with a valid reason. All refunds are evaluated on a case-by-case basis and are granted at the sole discretion of the Company.

3.6 Payment Processor

GearVault utilizes Polar.sh as its Merchant of Record. Polar.sh processes all payments on behalf of the Company. Your use of Polar.sh services is subject to their terms and privacy policies.

4. User-Generated Content

Users may submit, create, or import content including Amazon URLs, Builds, imported product data, and manually created product entries (including but not limited to ASIN, title, description, and related metadata) (collectively, "User Content").

4.2 Visibility

All User Content is private by default. A Creator may elect to make a Build public when publishing the associated video or content to their external platform.

4.3 Permissible Content

GearVault does not independently host or generate adult or NSFW content. User Content is limited to products available in Amazon's catalog. Any product listed on Amazon may be included in a Build. The Platform does not assume responsibility for the nature of Amazon's catalog.

4.4 Ownership

You retain full ownership of all User Content you create, submit, or import into GearVault.

4.5 License to Platform

By submitting User Content, you grant GearVault a non-exclusive, worldwide, royalty-free, limited license to store, display, process, and back up your User Content solely for the purpose of operating, maintaining, and providing the Platform. This license terminates automatically when you delete the applicable User Content or your account.

4.6 Export and Removal

GearVault does not currently provide an export or download feature for User Content. Deletion of a Build or your account is the sole mechanism for removing content from the Platform.

5. Prohibited Behavior

You agree not to engage in any of the following: (a) Illegal activity, fraud, or any conduct that violates applicable law; (b) Creation of misleading, deceptive, or fake Builds or product entries; (c) Gaming, manipulating, or circumventing the Amazon affiliate system, including but not limited to link cloaking, redirect manipulation, or any other technique designed to artificially inflate affiliate revenue; (d) Uploading, distributing, or linking to malware, phishing content, harmful code, or any material that could compromise the security of the Platform or its users; (e) Harassing, abusing, or intimidating other users; (f) Impersonating GearVault, Amazon, or any other person or entity.

5.2 Scraping and Reverse Engineering

Automated scraping, data harvesting, reverse-engineering, decompiling, disassembling, or attempting to derive the source code of the Platform is strictly prohibited. Resale of Platform access, data, or features is strictly prohibited.

5.3 Enforcement and Violations

Violations of this Section will result in disciplinary action at the Company's sole discretion: (a) For serious violations supported by proof, the Company reserves the right to permanently delete your account and retain affiliate revenue generated by your Builds as damages. (b) For less serious violations, the Company may issue a warning email.

5.4 Banned Users

Users whose accounts have been permanently banned are prohibited from creating new accounts. A ban is permanent and non-appealable except at the sole discretion of the Company.

6. Intellectual Property

6.1 Platform Ownership

Fyramiz (Mbark Draoui) owns all rights, title, and interest in and to the GearVault Platform, including but not limited to all branding, code, software, design, features, trade names, trademarks, and service marks.

6.2 User License to Technology

In the event the Platform ceases operation: (a) If shutdown is due to reasons other than lack of funds (e.g., personal choice, change in business direction), all Premium subscribers active at the time of shutdown will receive a copy of the source code for self-hosting purposes only. Such source code may not be sold, redistributed, sublicensed, or otherwise transferred. (b) If shutdown is due to lack of funds, no source code will be provided to any user, and Premium users will lose access without compensation. (c) Free users may purchase the source code at a price higher than the monthly Premium subscription, unless the shutdown is due to lack of funds, in which case no source code will be provided.

6.3 Feedback

Any feedback, suggestions, or ideas you provide to GearVault may be used by the Company without restriction, compensation, or attribution. You grant the Company a non-exclusive, royalty-free, perpetual, irrevocable right to use such feedback for any purpose. The Company may, at its sole discretion, choose to award prizes or recognition for feedback, but has no obligation to do so.

7. Privacy and Data

GearVault collects and processes the following categories of personal data: name, email address, hashed password, Amazon affiliate ID, username, URL slug, and subscription status and history.

7.2 Third-Party Services

Your data is stored and processed using the following third-party service providers: • NeonDB (database hosting) • Vercel (hosting infrastructure) • PostHog (analytics) The Company does not sell your personal data to any third party.

7.4 Regulatory Compliance

GearVault does not specifically assert compliance with GDPR, COPPA, CCPA, or other specific privacy regulations. Users are responsible for ensuring their own compliance with applicable laws in their respective jurisdictions.

8. Liability and Disclaimers

8.1 As-Is Service

THE PLATFORM IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 No Uptime Guarantees

GearVault does not guarantee uninterrupted, timely, secure, or error-free service. No service level agreement (SLA) is provided.

8.3 Potential Disruptions

You acknowledge that the Platform relies on Amazon's APIs, policies, and catalog. Groundbreaking changes to Amazon's API or policies may cause service disruptions, data loss, or feature deprecation. The Company assumes no liability for such disruptions.

8.4 Liability Cap and Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL LIABILITY FOR ANY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM. THIS INCLUDES, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, BUSINESS INTERRUPTION, OR ANY OTHER DAMAGES, REGARDLESS OF WHETHER THE COMPANY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.5 No Cap on Liability

The Company's liability is not capped to the amount paid by you. The Platform disclaims all liability entirely as set forth above.

9. Changes and Termination

9.1 Changes to Terms

The Company reserves the right to modify these Terms at any time. Material changes will be communicated via email to the address associated with your account. Your continued use of the Platform after such changes constitutes acceptance of the revised Terms.

9.2 Termination by Company

The Company may terminate or suspend your account without prior notice for serious violations of the prohibited behavior outlined in Section 5. The Company will obtain and retain verification or proof of such violations before taking permanent action.

9.3 Platform Shutdown

(a) If shutdown is due to lack of funds: No source code will be provided. Premium users will lose access without refund or compensation. (b) If shutdown is due to other reasons (e.g., change in mentality, personal choice, strategic pivot): Premium subscribers active at the time of shutdown will receive source code for self-hosting under the terms of Section 6.2. Free users may purchase source code at a price higher than the monthly subscription.

10. Disputes

10.1 Governing Law

These Terms and any dispute arising out of or related to your use of GearVault shall be governed by and construed in accordance with the laws of Morocco, without regard to its conflict of law principles.

10.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall be resolved exclusively through mandatory binding arbitration conducted in Morocco. The arbitration shall be private, and the parties waive any right to participate in a class action or group proceeding.

10.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY PROCEEDINGS, WHETHER IN ARBITRATION OR OTHERWISE, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING. YOU WAIVE ANY RIGHT TO BRING CLAIMS AS PART OF ANY CLASS ACTION OR GROUP PROCEEDING.

11. General Provisions

11.1 Entire Agreement

These Terms constitute the entire agreement between you and the Company regarding your use of GearVault and supersede all prior agreements and understandings.

11.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

11.3 Waiver

The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

11.4 Assignment

You may not assign or transfer these Terms without the prior written consent of the Company. The Company may assign these Terms without restriction.
